Terms & Conditions
The following terms and conditions apply to all website development/design services provided by Copper Rose Limited to the Client.
It is not necessary for any Client to have signed an acceptance of these terms and conditions for them to apply. If a Client accepts a quote, then the Client will be deemed to have satisfied themselves as to the terms applying and have accepted these terms and conditions in full.
Please read these terms and conditions carefully. Any purchase or use of our services implies that you have read and accepted our terms and conditions.
Charges for services to be provided by Copper Rose Limited are defined via the agreement with your dedicated account manager via phone and email. An invoice will be provided to the client upon agreement.
*All phone calls are recorded for training purposes.*
Unless agreed otherwise with the Client, all website design services require an advance payment of a minimum of 50%. The total price is due upon completion of the work, prior to upload to the server or release of materials.
A Minimum of 50% Payment for services is required immediately and is payable via credit debit card which can be taken over the phone via an account manager, alternatively, payment can be made via direct debit or bank transfer. Cheques are not accepted without the prior express written consent of the Directors. Bank details will be made available on invoices.
3. Client Review Process
Copper Rose Limited will provide the Client with the opportunity to review the appearance and content of the website during the design phase via a development URL. At this time changes can be requested. At the completion of the project, the website will be deemed accepted and approved unless the Client notifies Copper Rose Limited otherwise within fourteen (14) days of the date the website was deemed accepted.
4. Turnaround Time
Copper Rose Limited will complete the Client’s website by the date specified in the agreement with your account manager, or at a date agreed with Client upon Copper Rose Limited receiving the initial payment, unless a delay is specifically requested by the Client and agreed by Copper Rose Limited.
In return, the Client agrees to delegate a single individual as a primary contact to aid Copper Rose Limited with progressing the design in a satisfactory and expedient manner.
During the project, Copper Rose Limited will require the Client to provide website content; text, images, movies and sound files where applicable.
5. Failure to provide required website information
In order for Copper Rose Limited to remaining efficient, we must ensure that work we have scheduled is carried out at the scheduled time. On occasions, we may have to reject offers for other work and inquiries to ensure that your work is completed at the time arranged.
This is why we ask that you provide all the required information as soon as possible from the commencement date of your site design. On any occasion where progress cannot be made with your website because we have not been given the required information in the agreed time frame, and we are delayed as result, we reserve the right to delay your project past the original completion date. If your project involves Search Engine Optimisation we need the text content for your site in advance so that the SEO can be planned and completed efficiently.
If you agree to provide us with the required information and subsequently fail to do so within 14 days of project commencement we reserve the right to close the project and the balance remaining becomes payable immediately.
Text content should be delivered as a Microsoft Word, email (or similar) document with the pages in the supplied document representing the content of the relevant pages on your website.
Using our content management system you are able to keep your content up to date yourself.
Invoices will be provided by Copper Rose Limited upon agreement of products and/or services. Invoices are distributed via email however clients can request to receive hardy copy invoices.
Invoices related to solitary fees will be followed by correspondence confirming and explaining the fees.
Invoices for products and/or services are enforceable within 30 days. Non-payment will result in loss of products and/or services as well as a 25% late payment fee.
Costs are payable via credit and debit card (which can be taken over the telephone) and payment can also be made via direct debit and bank transfer. Cheques are accepted with prior express written consent of the Directors.
Bank details will be made available on invoices.
For design services and one-time fees, 50% of the total cost is due upon agreement and the remaining 50% is due upon completion of the service/s.
In the event of cancelation, company dissolvent or where no content for the website has been forthcoming within 6 weeks of the commencement of a project, all outstanding invoices will become payable immediately.
7. Additional Expenses
With all website design services, there is a £10(+Vat) per month charge which is for the hosting of your website, yearly renewal of your domain name, access to the CMS and support from your 1-2-1 Account Manager. Additional monthly charges apply for additional services such as but not exclusive to; SEO, PPC, Social Media Setup and Management, Analytics Reports.
8. Web Browsers
Copper Rose Limited makes every effort to ensure websites are designed to be viewed by the majority of visitors. Websites are designed to work with the most popular current browsers (e.g. Firefox, Internet Explorer, Google Chrome, etc.). Client agrees that Copper Rose Limited cannot guarantee correct functionality with all browser software across different operating systems.
Copper Rose Limited cannot accept responsibility for web pages which do not display acceptably in new versions of browsers released after the website have been designed and handed over to the Client. As such, Copper Rose Limited reserves the right to quote for any work involved in changing the website design or website code for it to work with updated browser software.
Termination of services by the Client must be requested in a written notice within 28 days and will be effective on receipt of such notice. E-mail or telephone requests for termination of services will not be honoured until and unless confirmed in writing.
If during the initial 28 days of the Website Development Cycle a client wishes to cancel, they may do so but will be invoiced an amount that Copper Rose Limited judges to be proportional to the amount of work completed on the commission.
All Copper Rose Limited services may be used for lawful purposes only. You agree to indemnify and hold Copper Rose Limited harmless from any claims resulting from your use of our service that damages you or any other party.
The Client retains the copyright to data, files and graphic logos provided by the Client, and grants Copper Rose Limited the rights to publish and use such material.
The Client must obtain permission and rights to use any information or files that are copyrighted by a third party. The Client is further responsible for granting Copper Rose Limited permission and rights for use of the same and agrees to indemnify and hold harmless Copper Rose Limited from any and all claims resulting from the Client’s negligence or inability to obtain proper copyright permissions. A contract for website design and/or placement shall be regarded as a guarantee by the Client to Copper Rose Limited that all such permissions and authorities have been obtained.
Evidence of permissions and authorities may be requested.
12. Design Credit
A link to Copper Rose Limited will appear in either small type or by a small graphic at the bottom of the Client’s website. If a graphic is used, it will be designed to fit in with the overall site design. If a client requests that the design credit be removed, a nominal fee of 10% of the total development charges will be applied. When total development charges are less than £2000, a fixed fee of £250 will be applied. The Client also agrees that the website developed for the Client may be presented in Copper Rose Limited’s portfolio on various digital platforms.
13. Domain Names
Copper Rose Limited may purchase domain names on behalf of the Client. Payment and renewal of those domain names is covered via the monthly charge. If the Client wishes to terminate using Copper Rose Limited’s services, the cost of hosting and domain renewals will be the clients responsibility and a new hosting provider should be sourced by the client.
These Terms and Conditions supersede all previous representations, understandings or agreements. The Client’s signature below or payment of an advance fee constitutes agreement to and acceptance of these Terms and Conditions. Payment online is an acceptance of our terms and conditions.
15. Governing Law
This Agreement shall be governed by English Law.
Copper Rose Limited hereby excludes itself, its Employees and or Agents from all and any liability from:
- Loss or damage caused by any inaccuracy;
- Loss or damage caused by omission;
- Loss or damage caused by delay or error, whether the result of negligence or other cause in the production of the web site;
- Loss or damage to clients’ artwork/photos, supplied for the site. Immaterial whether the loss or damage results from negligence or otherwise.
The entire liability of Copper Rose Limited to the Client in respect of any claim whatsoever or breach of this Agreement, whether or not arising out of negligence, shall be limited to the charges paid for the Services under this Agreement in respect of which the breach has arisen.
In the event any one or more of the provisions of this Agreement shall be held to be invalid, illegal or unenforceable, the remaining provisions of this Agreement shall be unimpaired and the Agreement shall not be void for this reason alone. Such invalid, illegal or unenforceable provision shall be replaced by a mutually acceptable valid, legal and enforceable provision, which comes closest to the intention of the parties underlying the invalid.
Copper Rose Limited reserves the right to change or modify any of the terms and conditions contained in the Terms and Conditions.
